Orders & Acceptance
Globalsors LLC supplies products exclusively to business and institutional customers, including industrial plants, laboratories, and other professional end‑users (“Buyer”). By requesting a quotation, issuing a purchase order, or otherwise placing an order with Globalsors LLC (“Seller”), Buyer agrees to be bound by these Terms and Conditions of Sale.
All orders are subject to review and acceptance by Seller at its principal office. Seller reserves the right to reject any order in its sole discretion, including where the proposed transaction does not meet Seller’s internal compliance, export‑control, or anti‑money‑laundering requirements. No order is binding on Seller until a written quotation or Pro‑Forma Invoice (“PFI”) has been issued by Seller and accepted by Buyer.
Wholesale pricing and commercial terms may be conditioned on minimum order quantities (“MOQ”) as specified in Seller’s quotation or PFI. Seller may decline or re‑quote orders that do not meet applicable MOQ thresholds or that fall outside the agreed product, territory, or end‑use parameters.
Pricing & Payment
Unless otherwise stated in writing, all prices are quoted and payable in United States Dollars (USD). Quotations are valid only for the period specified therein or, if no period is specified, for thirty (30) days from the date of issue and may be updated in case of changes in manufacturer pricing, freight, or regulatory costs.
Standard payment terms are one hundred percent (100%) advance payment via bank wire transfer or ACH prior to shipment, unless Seller has approved written credit terms for Buyer. Net 30 or similar terms may be offered only to pre‑approved institutional clients at Seller’s discretion and may be withdrawn if Buyer’s payment performance or risk profile changes.
Seller accepts payment only from the legal entity named on the PFI and invoice. Payments from third parties or unrelated entities may be rejected or refunded in accordance with Seller’s anti‑money‑laundering and compliance procedures. Prices exclude all applicable taxes, customs duties, and brokerage fees, which are the responsibility of Buyer unless expressly stated otherwise.
Shipping, Title, & Export Compliance
Unless otherwise specified in the PFI or commercial invoice, international shipments are made under Incoterms 2020 as either Ex Works (“EXW”) Seller’s designated U.S. facility, or Carriage and Insurance Paid To (“CIP”) the Buyer’s designated port of entry in the GCC region. The applicable Incoterm will be stated in Seller’s quotation and shipping documents.
For EXW shipments, title and risk of loss transfer to Buyer upon delivery of goods to the carrier at Seller’s designated facility. For CIP shipments, risk of loss transfers to Buyer upon delivery to the first carrier, while Seller arranges carriage and insurance to the agreed destination in accordance with the Incoterm; delivery dates are estimates and not guarantees.
Products supplied by Seller may be subject to U.S. export control laws, including the Export Administration Regulations (EAR), as well as applicable sanctions programs. Buyer agrees not to export, re‑export, or transfer any products in violation of U.S. law, including to any embargoed or sanctioned country or prohibited end‑user, and is responsible for obtaining any required export, import, or end‑use licenses.
Inspection, Returns, & Refunds
Buyer must inspect all products promptly upon receipt. Any claims for shortages, visible damage, or non‑conformity must be notified to Seller in writing within five (5) business days of delivery (“Inspection Period”); failure to provide notice within the Inspection Period constitutes acceptance of the products as delivered.
Due to the specialized nature of industrial filtration systems, water purification equipment, laboratory reagents, and related consumables, all sales are final, and returns are not accepted for change of mind, incorrect ordering, or non‑technical reasons. Hazardous materials, chemical reagents, temperature‑sensitive goods, customized or special‑order products, and any sterile or consumable items that have been opened or used are not eligible for return except where required by law or OEM warranty obligations.
If, within the Inspection Period or the applicable manufacturer’s warranty period, a product is proven defective or non‑conforming to the manufacturer’s published specifications, Buyer must contact Seller to obtain a Return Material Authorization (“RMA”) number and follow return instructions. Upon verification of the defect by Seller and/or the original equipment manufacturer, Seller will, at its option and as permitted by the OEM, arrange for repair, replacement, or a refund/credit limited to the purchase price of the affected item; unauthorized returns or returns of non‑defective items accepted at Seller’s discretion may be subject to a restocking fee of up to twenty‑five percent (25%) plus freight and handling.
Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them, or to the sale of products by Seller, shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any choice‑of‑law or conflict‑of‑law rules.
The state and federal courts located in the State of Delaware shall have exclusive jurisdiction over any dispute arising under or in connection with these Terms. Buyer irrevocably submits to the personal jurisdiction of such courts and waives any objection based on improper venue or forum non conveniens.
Privacy & Data Protection
Globalsors LLC collects business contact information (such as names, business email addresses, phone numbers, and shipping details) solely for the purposes of processing orders, coordinating logistics, providing technical and commercial support, and complying with applicable trade and regulatory requirements.
